# Schneider's Shelly takeover is planned, not finished

Schneider Electric has agreed terms for a proposed €1.2 billion Shelly takeover, but ownership, products and Matter support have not changed yet.

Shelly Group signed an investment agreement with Schneider Electric on September 24, 2026, supporting an intended cash offer that would value Shelly at about €1.2 billion. [The agreement](https://corporate.shelly.com/en/news/shelly-group-has-entered-into-an-investment-agreement-with-schneider-electric-on-the-intended-voluntary-public-takeover) is real, but the takeover is not complete. No offer has been registered or published, and Shelly has not announced a change to its devices, apps, cloud services, firmware, prices, open interfaces, or Matter support.

For current owners, that means there is nothing to migrate or reconfigure because of the deal. Buy or keep a Shelly product for what its exact documentation supports today, not for a future integration with Schneider's energy and building systems.

## The offer still has conditions

Schneider plans to offer €70 in cash for each Shelly share through a wholly owned subsidiary. Shelly says the proposed offer needs regulatory approval and enough acceptances to leave Schneider holding at least 95% of the company. If those conditions are met, closing is expected by the first quarter of 2027.

Shelly's two founders, who together hold about 57% of the shares, support the proposal. Co-founder Dimitar Dimitrov is expected to tender his shares, reinvest part of the proceeds, and remain co-CEO with Wolfgang Kirsch. Schneider also intends to retain Shelly's Bulgarian headquarters, geographic footprint, organization, and workforce for at least three years after completion.

Those commitments make the proposal more concrete, but they are not product promises. [Shelly's regulatory notice](https://corporate.shelly.com/en/news/shelly-group-se-enters-into-investment-agreement-with-schneider-electric-se) says the offer still has not cleared the Bulgarian Financial Supervision Commission. Schneider's own [regulated-information index](https://www.se.com/ww/fr/about-us/investor-relations/regulatory-information/overview/) records the September 24 announcement, without adding a consumer-product timetable.

## Do not invent a joint roadmap

Shelly says the proposed combination would pair its technology platform and customer reach with Schneider's global resources and energy-management expertise. That is a strategy, not a product roadmap. The announcement does not say when, or whether, today's Shelly app, cloud plans, local APIs, Matter devices, or announced ThreadLink firmware will change.

That distinction matters because Shelly's current products already take several paths. Future Schneider integration would be a separate event that needs exact product and support documentation.

The practical advice is simple: install available firmware through Shelly's documented path, keep local configuration records for important relays and energy meters, and judge each purchase by its present connection and feature set. Revisit the deal when the offer is published, closes, or produces a specific product, service, pricing, or compatibility change.
